By accessing and using Pocket POS website, mobile applications, and services (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to any part of these Terms, you may not use our Services.

We reserve the right to modify these Terms at any time. Changes become effective immediately upon posting. Your continued use of our Services after modifications constitutes acceptance of the updated Terms.

7.1 Your Store Data

You retain all ownership and rights to your Store Data (products, customers, transactions, inventory). You grant us a limited license to access, store, process, and display your Store Data solely to provide and improve our Services.

All software, content, logos, trademarks, designs, and materials on our Services are our exclusive property or licensed to us. You may not use them without explicit written permission.

8. Service Availability and Maintenance

8.1 Uptime and Availability

We aim to maintain 99% uptime for our Services but do not guarantee uninterrupted availability. Service interruptions may occur for maintenance, updates, or factors beyond our control.

8.2 Scheduled Maintenance

We may perform scheduled maintenance with advance notice to you. We will endeavor to minimize disruption, typically scheduling maintenance during off-business hours.

8.3 Emergency Maintenance

We may perform emergency maintenance without advance notice to address security issues, critical bugs, or service failures.

9. Service Limitations and Disclaimers

9.1 "As Is" and "As Available"

Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. To the maximum extent permitted by law, we disclaim all warranties including MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, and ACCURACY.

9.2 No Guarantee of Results

We do not guarantee that our Services will meet your specific requirements, be error-free, or produce specific business results. Use of our Services is at your own risk.

9.3 Third-Party Services

Our Services may integrate with third-party services (payment processors, cloud storage, analytics). We are not responsible for third-party service failures, data loss, or violations of their terms. Use of third-party services is at your own risk.

10. Limitation of Liability

10.1 Liability Cap

To the maximum extent permitted by law, our total liability for any claim arising from these Terms or our Services shall not exceed the total amount you have paid to us in the 12 months preceding the claim. If you have not paid us anything, our liability is limited to ₹100 (one hundred rupees).

In no event shall we be liable for indirect, incidental, consequential, special, or punitive damages including loss of profits, data, business opportunity, or goodwill, even if advised of such damages' possibility.

11.1 Regular Backups

We maintain automated backups of your Store Data, typically updated daily. However, backup systems can fail.

11.2 Your Responsibility for Backups

You are responsible for maintaining your own independent backups of critical data. We are not liable for data loss due to backup failures, human error, malware, or circumstances beyond our control.

11.3 Data Retention on Termination

Upon account termination, we retain your data for 90 days to permit recovery. After 90 days, data is deleted and cannot be recovered.

12. GST Compliance and Invoicing

As a GST-applicable business, all invoices will include applicable GST as per Indian law. You are responsible for maintaining GST compliance in your business operations. Our invoicing features help generate GST-compliant bills, but you remain responsible for accuracy and legal compliance.

13.1 Termination by You

You can terminate your account at any time by requesting account deletion through your dashboard or contacting support. No refunds are issued for prepaid fees unless required by law.

Upon termination, your access to our Services ends, your Store Data access is revoked, and outstanding payments remain due.

14.2 Governing Law

These Terms are governed by the laws of India, specifically the laws of Karnataka state, without regard to conflicts of law principles.

14.3 Arbitration

Any dispute shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996, before a single arbitrator in Bengaluru, India. Each party bears its own costs unless the arbitrator determines otherwise.

These Terms, along with our Privacy Policy, constitute the entire agreement between you and us. Any prior agreements, understandings, or representations are superseded by these Terms.
